These Terms of Use ("Terms") govern your access to the use of our services (we make references to these as "Services"). By accessing and using our services, you agree to these Terms.

CEIS, LLC reserves the right to prohibit any proposals for violating the Guidelines below.

Contractual Specifications
By submitting a proposal to CEIS, LLC you enter into an agreement with our company to be bound by terms and conditions as follows:
  1. You authorize that your posting will not violate any trademark or copyright, state or federal.
  2. Although CEIS proposed postings, are not responsible for a postings content. You are responsible for your use of the Service and for any information you provide, and for compliance with applicable laws, rules, and regulations. You use the Service at your own risk and agree to defend, indemnify and hold CEIS harmless from all loss, liability, claims and demands, including attorney's fees, or subject matter of any posting made by you.
  3. By posting or displaying information through the Service, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such data in any and all media or distribution methods (now known or later developed). This license authorizes us to make your data available to the rest of the world and to let others do the same. But we will not share information to their parties.
  4. The Service is provided to you on an "AS IS" and "AS AVAILABLE" basis.
  5. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE. IN NO EVENT SHALL THE AGGREGATE OF OUR LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID US FOR USE OF THE SERVICE. THESE LIMITATIONS SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
  6. The laws of the State of Texas, will govern these Terms and any dispute that arises between you and us. All disputes related to these Terms or the Service will be brought solely in the state court located in Texas or in the federal courts of Texas and you consent to personal jurisdiction and waive any objection as to inconvenient forum.
